General Summary This position is primarily responsible for the review, negotiation and drafting of the Company s retail store lease agreements and related documents.The position works closely with the Company s real estate team and construction & store planning department as well as with other members of the Law Department.This position will have significant interaction with the legal representatives of shopping centers throughout the U.S. and Canada.Additionally this position may be involved in the negotiation and drafting of various commercial contracts. Duties and Responsibilities (*Essential Functions) 1.*Review and Negotiate store lease agreements, amendments, renewals, subordination agreements, estoppelsand other real estate and lease related documents as necessary to assure all documents accurately reflect all approved business terms and Company legal standards and requirements; also review and negotiation of various commercial contracts 2.*Review existing lease related documents and provide interpretation and summary of documents to management as necessary on particular provisions or in connection disputes or other issues.Develop good working relationships with outside parties, including landlords and their representatives 3.Proactively assure that the Company s store lease provisions are consistent and best available to retailers 4.Provide status reports or summaries and other communications on the status of lease agreements during the review and negotiation process.Proactively seek assistance from business and or legal team where issues may occur in lease negotiations 5.Prepare documentation and correspondence, including, but not limited to leases, amendments, extensions, notices and other real estate related documents 6.Responsible for accurate interpretation of lease agreements 7.Upon request, research lease related issues and provide information and summaries to management 8.Resolve lease related disputes with the Company s landlords 9.Participate in real estate and law department meetings as necessary 10.Manage the lease/document execution process within the Company Skills and Abilities 1.Strong knowledge and experience in real estate law, with particular emphasis on commercial lease agreements; experience in contracts also preferred 2.Able to develop good working relationships with legal counsel for shopping centers 3.Excellent negotiating and drafting skills 4.Solid communication skills and the ability to work well with others within and outside of the Company 5.Requires good organizational skills to properly manage a large volume of documents related to the Company s leasing activities 6.Requires the ability to prioritize work load to achieve deadlines. 7.Must be able to work independently 8.Must be proficient with Microsoft Word Education and Experience 1.Juris Doctor degree 2.Licensed to practice law in Ohio 3.Minimum five (5) years of work experience in commercial real estate law and negotiating and reviewing retail lease agreements Working Conditions Normal; no adverse or hazardous conditions
